Proposed Amendments to the SSAT Constitution and By-Laws

Two proposed By-Laws changes shall be voted upon at the next Annual Business Meeting on Tuesday, May 20, 2008, from 5:00 PM to 6:00 PM in Room 25ABC of the San Diego Convention Center in San Diego, California. The first proposal would add the SSAT Program Committee Chair to the official roster of voting SSAT Board of Trustees members; the second proposal would change the language regarding transferring to Senior membership. For each amendment to pass: 1) each Active and Senior member must be notified of the proposal at least 30 days before the Annual Meeting, and 2) a majority of all Active and Senior members of the Society present at the Annual Business Meeting must vote affirmatively.

The proposed changes to the By-Laws that would add the SSAT Program Committee Chair to the official roster of voting SSAT Board of Trustees members follow. Additions are in Bold Underline and deletions are in strikethrough.

Article VI. Board of Trustees

Section 1. Formation
The Board of Trustees shall include the President, President-Elect, Vice-President, Secretary, Treasurer, Recorder, the three most immediate Past-Presidents, the Program Committee Chair, and no more than eight Trustees-at-large. Immediate Past-Presidents shall continue as Trustees for a term of three (3) years, the immediate Past-President serving during his first year as Chair of the Board. The term of any Trustee-at-Large shall be for a period of three (3) years, subject to extension for one additional three (3) year period. In the absence of the Chair of the Board, the next most recent Past-President, or if no Past-Presidents are present, the President shall preside. In the event of the death, resignation, removal from office, or extended disability of the Chair of the Board, the next most recent Past President shall become Chair of the Board.

Article IV. Membership

Section 8. Senior Members
Senior membership begins on January 1 of the year following the active member’s 65th birthday. Upon completion of surgical practice, retirement, and/or disability, members may request in writing a transfer to Senior status. The Board of Trustees will review and act on such requests. Senior members may vote but hold office only upon completing the term of office held before reaching senior status.
